1. Agreement to terms
By accessing and using Relay, you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use Relay.
2. Service description
Relay is a workspace management platform for small teams. It enables you to manage tasks, announcements, meetings, and team communication. Relay is provided on an “as-is” basis. Features, functionality, and availability may change at any time.
3. Eligibility and account responsibility
You must be at least 18 years old and a representative of a business entity to use Relay. Each company gets one workspace. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
You agree to notify us immediately of any unauthorized access to your workspace.
4. Subscription and billing
Relay operates on a subscription model. Plans are priced as a monthly base fee plus a per-employee fee, and you may choose monthly or annual billing; current prices are shown on the pricing page. Billing is managed by Paddle. Your subscription renews automatically each billing period unless you cancel.
Workspace administrators can manage billing from workspace settings. If you cancel, the subscription is set to end at the close of the current billing period unless otherwise stated by the billing provider. No refunds are issued for partial months unless required by law.
If payment fails, we or our billing provider may retry collection. We may limit, suspend, or lock workspace access until billing issues are resolved.
5. Acceptable use
You agree not to use Relay for any illegal, unauthorized, or harmful purpose, including:
- Violating any applicable laws or regulations
- Harassing, threatening, or abusing other users
- Uploading malware, viruses, or malicious code
- Attempting to gain unauthorized access to Relay systems
- Reselling or redistributing Relay as a service
- Scraping or bulk exporting data without permission
6. Data ownership
All data you create in your workspace (tasks, announcements, meetings, team information) is owned by your company. You retain full ownership of your data. Relay does not claim ownership of any workspace data.
7. Service availability
We make reasonable efforts to keep Relay available. However, we do not guarantee 24/7 uptime or any specific service level agreement. Downtime for maintenance, updates, or emergency repairs may occur with or without notice.
8. Termination
You may terminate your account at any time by canceling your subscription. Relay may terminate your account if you violate these terms, engage in illegal activity, or fail to pay your subscription.
Canceling a subscription does not automatically delete workspace data. If a company administrator deletes the workspace through Relay settings, Relay first queues secure deletion, completes billing and identity cleanup, and then permanently removes the local workspace. Backups and provider-side logs may persist until their standard retention periods expire.
9. Limitation of liability
To the maximum extent permitted by law, Relay’s total liability is limited to the amount you paid in the 12 months preceding the claim. We are not liable for any indirect, incidental, or consequential damages, including loss of data, business interruption, or lost profits.
10. Indemnification
You agree to indemnify and hold harmless Relay from any claims, damages, or costs (including legal fees) arising from your use of Relay, your violation of these terms, or your infringement of any rights.
11. Changes to these terms
We may update these Terms of Service at any time. Material changes will be communicated via email or notice on our site. Continued use of Relay after changes constitutes acceptance of the updated terms.
12. Governing law
These Terms of Service are governed by the laws of the United States, and you agree to submit to the exclusive jurisdiction of the courts in New York.
